About Empire

Puget Sound companies beyond the tech headline

Seattle’s public story is software. The private-company market is still full of aerospace suppliers, maritime services, coffee and food operators, medical and dental practices, and the contractors who keep Eastside and South Sound buildings running. Empire Seattle Business Brokers works with those owners when it is time to sell a business, buy one, or put a defensible number on what they built.

Empire has advised on Main Street and middle-market transfers since 1981. Around Puget Sound that advice includes how Washington’s regulatory and wage environment shows up in diligence, and how buyers from outside the region misread both the opportunity and the cost base.

The Seattle-area businesses that actually transfer

Kent, Everett, and Tacoma still produce industrial and logistics deals tied to ports, Boeing’s orbit, and regional distribution. Those companies look unglamorous next to South Lake Union and often produce cleaner cash flow. A Seattle business broker should be able to walk a plant floor and a clinic in the same week.

Food, coffee, and hospitality remain active, especially when a concept has more than one unit or a wholesale channel. Single-location cafes with fashion rents in Capitol Hill or Ballard need a harder conversation about lease risk. We would rather reprice or wait than list a story that will not finance.

Healthcare practices and professional firms in Bellevue, Redmond, and Seattle proper trade on provider production and client retention. Tech-adjacent services — staffing, specialty IT, facilities vendors — can draw strategic interest, but only if customer concentration is honest. We write the memorandum for how Puget Sound buyers actually underwrite, not how a national blog thinks a ‘Seattle multiple’ should look.

Areas we serve:

  • Seattle
  • Bellevue
  • Tacoma
  • Kent
  • Everett
  • Redmond
  • Renton
  • South Lake Union

Puget Sound listings begin with document-ready financials. Buyers and lenders here are not casual. We recast add-backs, map aerospace or clinic concentration, and only then run a confidential process aimed at King, Pierce, and Snohomish operators plus qualified out-of-region buyers.

Diligence regularly includes environmental questions on Kent or Everett industrial sites, professional licensing, and Eastside landlord negotiations. We stay through that paper.

Buyers define tech-adjacent services versus a real operating company with trucks and techs. Those are different searches. We will not mix them in one tour list.

Questions owners in this market ask

Will a tech buyer pay more for my Seattle service company?

Only if earnings and contracts look like a business, not a founder. Applying a software-exit multiple to a machine shop or a cafe is how deals die. We price the company you have.

How do Washington regulations show up in a sale?

In diligence: wage, leave, and licensing questions arrive early. We prepare the file so a first-time buyer from another state is not shocked in week two.

Do you work Bellevue and Tacoma as well as Seattle?

Yes. The metro is the market. A Bellevue clinic and a Tacoma industrial shop do not share a buyer pool, so we recruit accordingly.

Should I list during a slow aerospace cycle?

It depends whether your earnings are already normalized. Selling at a trough without recasting can leave money on the table. Selling on a spike the books cannot defend wastes months. Valuation first.

Sell my business in Seattle with the books ready for diligence

This region’s buyers and lenders are document-heavy. If your add-backs are folklore, the deal dies in week three. We recast earnings, gather contracts, and market confidentially so employees in a tight labor market are not shopping themselves before you have a signed LOI.

Owners sometimes want to sell because a larger competitor called. That can be a good outcome or a lowball. We help you test whether a quiet process would bring a better structure — including earnouts that actually fit how aerospace, maritime, or clinic revenue is earned.

Buying a business in the Seattle metro

Relocating tech operators often want a ‘real’ company: trucks, techs, patients, or a shop. We help you avoid overpaying for a brand that is really a founder. Geography matters too — a Bellevue service radius is not a Tacoma one, and commute patterns will decide whether you can keep the crew.

Diligence here regularly includes environmental questions on older industrial sites, professional licensing, and landlord negotiations in a market that has seen sharp rent moves. We stay through that work until closing.

We value companies on recast cash flow, concentration, lease quality, and how financeable the deal is in Washington. You will not get a tech-exit fantasy applied to a machine shop. You will get a range and the two or three operational issues that would move it before you list.

For owners

10 things you need to know before selling your business

Owners preparing to sell a business in Seattle usually underestimate the same issues. These are the ones that change price, timing, and whether a deal survives diligence.

Employees, customers, and competitors should not learn you are selling from a public listing or a careless conversation. A business broker uses confidentiality agreements, screened inquiries, and controlled disclosure so value is not damaged before you are ready to talk.
Owners often remember the year the shop was slammed or the contract that almost closed. Buyers, lenders, and SBA underwriters start with tax returns, interim statements, and add-backs that can be proven. Clean books shorten diligence.
If the company only works because you take every call, hold every relationship, and make every decision, a buyer sees risk. Document processes, introduce key staff, and show that revenue can transfer.
Owner salary, one-time legal fees, personal auto, and discretionary perks can be normalized — but only with support. Inflated add-backs are one of the fastest ways to lose a serious buyer.
Inventory, receivables, and payables move with the business. Agreeing early on a target working-capital level prevents last-week fights over cash left in the company.
The headline price is not what you keep. Structure, allocation, and taxes can swing six figures. Coordinate your CPA and attorney with the broker before you accept a letter of intent.
SBA 7(a) and conventional loans still fund a large share of Main Street and lower-middle-market deals. That means the business must be financeable: verifiable earnings, reasonable leverage, and a story a lender can defend.
If you own the building, you may sell it with the company, retain it and lease it back, or keep it as an investment. Those choices affect price, financing, and your income after closing.
Buyers pay for a going concern. Retention of managers, technicians, and producers should be planned, not improvised after the announcement.
The owners who net more are usually the ones who spent a season tightening reporting, customer concentration, and leases — then went to market on purpose, not in a rush.
